Paramount Completes Acquisition and Merger of Warner Bros.

Paramount finalized the acquisition of Warner Bros. Discovery on Tuesday, achieving a historic merger in the film industry. This long-awaited merger was completed at a cost of $81 billion and includes Warner Bros.' debts amounting to nearly $111 billion.

Formation of New Company Skydance

The merger of Paramount and Warner Bros. brings together two historic American film studios and forms a new company called Skydance Corporation. The name Skydance belongs to billionaire investor David Ellison, who initially acquired Paramount and its subsidiaries before moving on to Warner Bros.

This proposal faced intense competition from Netflix and was also under strict scrutiny from American officials and politicians, but it was ultimately approved. David Ellison stated, "Today is a historic day, not only for Skydance but for our entire industry."

Financial Details and Future Plans

Skydance shares began trading on the New York Stock Exchange under the ticker SKYD on Tuesday, and Warner Bros. Discovery shareholders will receive about $31 per share. This agreement was finalized less than a week after a federal judge in California approved a settlement agreement to resolve disputes between Paramount and 12 U.S. states that had gone to court to block the deal.

With this merger, in addition to the two major film studios, CBS News and CNN news networks, as well as HBO and CBS television brands, have also come together. Ellison also plans to merge the subscription streaming platforms Paramount+ and HBO Max.

David Ellison has been appointed as the President and CEO of the new company, and former Mattel CEO Ynon Kreiz will serve as co-CEO responsible for daily operations. Skydance Corp. is expected to generate around $70 billion in revenue and aims to achieve approximately $6 billion in cost savings over the next three years.
